The Role
We're looking for a Corporate Attorney to join our growing team. This is a transactional role at its core—you'll be counseling clients through some of the most pivotal moments of their business lives, from their first funding round to a multi-million-dollar acquisition. You'll work across a diverse client base ranging from early-stage startups to mature businesses in industries including technology, manufacturing, professional services, health and wellness, and real estate.
You'll be both a trusted advisor and a hands-on dealmaker. Our attorneys don't just review documents—they think strategically, bring creative solutions to the table, and build lasting relationships with clients who come back deal after deal.
What You'll Do
- Counsel clients through complex transactions including M&A, equity financings, partnership structuring, contract negotiation, and regulatory compliance
- Negotiate and close investment deals and buyouts for multi-million-dollar companies, including in the technology and insurance sectors
- Draft and negotiate a wide range of commercial contracts and agreements
- Advise clients on capital raises under Regulation D and ensure ongoing compliance
- Structure and negotiate partnership and shareholder agreements; resolve business disputes among members and shareholders outside of litigation
- Act as outside general counsel to clients across various industries, providing strategic, ongoing legal support
- Advise franchisors and franchisees on franchise-related matters, including FDD review and compliance
- Counsel clients on intellectual property matters, including trademarks
- Support clients in commercial real estate transactions and investment structuring
- Advise companies in emerging industries on securities, private equity, and technology/e-commerce matters
- Build and maintain your own client relationships and, where applicable, bring and grow a book of business

Requirements
What We're Looking For
Experience & Credentials
- 5–7 years of transactional/corporate law experience; fewer years considered for candidates with a demonstrated book of business and a strong track record
- Active Florida Bar license in good standing (required); licensure in additional states is a plus as we expand nationally
- Demonstrated experience across one or more of our core practice areas: contracts, franchising, business disputes (non-litigation), commercial real estate and investments, general counsel services, intellectual property, securities, private equity, and/or tech and e-commerce

- Proven ability to handle complex, multi-party transactions independently from start to finish
- Strong drafting, negotiation, and communication skills—you can translate legalese into plain language your clients actually understand
